Terms of Service
The agreement between you and VD Enterprises for using Top Billing.
Version 1.3 · last updated 2 October 2026
These Terms of Service (the Terms) are a legally binding agreement between you and VD Enterprises, a sole proprietorship of Vasudev with its principal place of business at No. 102, Kudiyana Theru, Melapoovanur, Needamangalam, Kalacheri, Tiruvarur District, Tamil Nadu 612803, India, GSTIN 33BUTPV1085N1ZQ (we, us, our), governing your use of Top Billing (the Service). They take effect on 2 October 2026.
By creating an account, accepting these Terms at sign-up, or sending a request to the Service with an API key, you agree to these Terms. If you are agreeing on behalf of a company, firm or other organisation, you confirm that you are authorised to bind it, and you means that organisation.
1. What the Service is
Top Billing is an API gateway. You send a request to our endpoints using the OpenAI-compatible or the Anthropic-compatible wire format; we route it to a third-party AI model provider, meter the tokens the provider reports, and charge your prepaid rupee balance. We do not build, train or fine-tune the models. We are not an agent of any model provider, and no model provider is a party to these Terms.
The models you may call, their capabilities and their prices are published on Model Square and in the documentation. A model identifier issued by us always begins with tb- and is our own name for a route; it is not the upstream provider's model name.
2. Definitions
| Term | Meaning |
|---|---|
| Account | Your registration on the Service, including every project and API key under it. |
| Credits | Prepaid balance in Indian Rupees held against a project wallet and usable only on the Service. |
| Input | Anything you send to the Service: prompts, messages, system instructions, tool definitions, files and metadata. |
| Output | Anything a model returns in response to your Input. |
| Customer Data | Input, Output, and any personal data of your own users that either contains. |
| Live key | A key beginning tb_live_. It routes to real model providers and spends purchased credits. |
| Documentation | The technical documentation published at topbilling.in/docs, which forms part of these Terms. |
3. Eligibility and your account
You must be at least 18 years old to hold an account. The Service is not offered to children, and you must not use it to process the personal data of a child unless you have obtained verifiable consent from the child's parent or lawful guardian and you tell us before you do so.
You must give accurate registration and billing information and keep it current. You are responsible for everything that happens under your account, including anything done by your employees, contractors, or anyone you give a key to. One person or organisation may not open multiple accounts to evade limits, caps, promotional credits or a suspension.
Where payment, fraud or sanctions law requires it, we may ask you to verify your identity or the source of a payment before releasing credits, and may hold an order until you do.
4. API keys and security
A key is shown to you once, at creation. We store only a hash of it and cannot recover it for you. Treat a key like a password: do not commit it to a repository, embed it in a mobile or browser application, or send it to us in an email or a support ticket. If a key may have leaked, revoke it in the dashboard — revocation takes effect across the gateway within about a second — and create a new one.
You are responsible for charges incurred through your keys before revocation, including charges from a leaked key, except to the extent the loss was caused by our failure to keep our own systems secure.
5. Acceptable use
Your use of the Service must comply with the Acceptable Use Policy, which forms part of these Terms, and with the acceptable-use rules of the model provider serving the model you call. Those upstream rules are passed through to you: where a provider prohibits a use, that use is prohibited on the Service.
6. Credits, prices, taxes and invoices
The Service is prepaid. You buy credits, the Service spends them, and we never invoice you after the fact for usage you have not funded. The Credits, Refunds and Cancellation Policy forms part of these Terms and governs how credits are bought, held, spent and refunded.
Each request reserves an upper-bound estimate against your wallet and then settles on the tokens the provider actually reported, at the price published for that model at the moment the request started. A price change is published as a new pricing version with an effective time; requests already in flight keep the version they began with.
Prices are exclusive of tax unless stated otherwise. Goods and Services Tax is added where applicable and shown before you pay; a tax invoice carrying our GSTIN is available from the Billing page. If you supply a GSTIN we will put it on your invoices, and you are responsible for its accuracy.
Where you take part in the referral programme, the Referral Programme Terms form part of these Terms. Rewards are paid in credits, are subject to the limits and the reversal rights set out there, and carry no cash alternative.
7. Your content and ours
You keep all rights in your Input. You confirm that you own or have the rights necessary to send it, and you grant us a worldwide, non-exclusive, royalty-free licence to host, transmit, process and display Input and Output solely to operate, secure, bill and support the Service — including transmitting Input to the model provider that serves your request.
As between you and us, Output is yours. We claim no ownership of it. We do not use your Input or Output to train any model, and we do not sell them.
Output is generated by a statistical model. It may be wrong, out of date, biased or offensive, and because the same Input may produce similar Output for another customer, Output may not be unique to you. You are responsible for reviewing Output before you rely on it, publish it or act on it, and for any decision you take with it.
We keep all rights in the Service, our software, our documentation, the tb- model catalogue, and our trade marks. You may not copy, resell, sublicense, reverse engineer or build a competing service from the Service except as the law expressly allows. If you send us feedback, we may use it without obligation to you.
8. Third-party model providers
To answer your request we transmit your Input to a third-party model provider. That provider processes it under its own terms and privacy practices, which we do not control. For commercial confidentiality we do not name our model providers publicly; the sub-processors page describes what they receive and where they may process it, and a customer that needs a provider's identity for its own data-protection compliance can ask support and receive it under a confidentiality agreement.
A provider may fail, deprecate a model, rate-limit us, or change its own rules at short notice. Where a model becomes unavailable we return a clear error rather than silently substituting a different model, and nothing is charged for a request that produced no output.
9. Service levels, support, changes and deprecation
Availability targets, support channels and response targets are set out in the Service Level and Support Policy. Those targets are commitments of effort, not warranties, and the current plan carries no service credits.
We may add, change or remove models, endpoints and features. For a change that would break working code we aim to give at least 90 days' notice of a model retirement and at least 30 days' notice of a breaking API change, announced by email to account owners and on the status page, unless a provider, a security problem or a legal requirement forces us to act sooner.
10. Data protection
Our Privacy Policy explains what personal data we process and why. Where you use the Service to process personal data for which you are the data fiduciary or controller, the Data Processing Addendum applies and forms part of these Terms.
11. Confidentiality
Neither of us will disclose the other's non-public information learned through the Service, except to people who need it and are bound to keep it confidential, or where the law or a valid order requires disclosure. Where we are legally permitted to, we will tell you before disclosing your data in response to a government or court demand.
12. Warranties and disclaimers
We warrant that we will provide the Service with reasonable skill and care. Otherwise, and to the fullest extent Indian law permits, the Service and all Output are provided as is and as available, and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted or error-free or that Output will be accurate, complete, current or fit for any purpose.
Nothing in these Terms excludes or limits a right you have under the Consumer Protection Act, 2019 or under any other law that cannot be excluded by agreement.
13. High-risk and regulated uses
The Service is general-purpose developer infrastructure. It is not certified, validated or intended for use as a medical device, for clinical diagnosis or treatment, for the operation of critical infrastructure, transport or safety systems, or for taking a decision about a person's employment, credit, insurance, housing, education or legal rights without meaningful human review. If you use it in any such context you do so on your own assessment and at your own risk, and you are responsible for the review, testing, disclosures and approvals the applicable law requires of you.
14. Indemnity
You will defend and indemnify us against third-party claims, and against fines, penalties and reasonable legal costs, arising from your Input, your Output, your use of the Service in breach of these Terms or the Acceptable Use Policy, or your breach of a law applicable to your use. We will tell you promptly about any such claim, let you control its defence, and cooperate at your cost.
15. Limitation of liability
To the fullest extent Indian law permits, neither of us is liable for indirect, incidental, special, punitive or consequential loss, or for loss of profit, revenue, goodwill, business, anticipated saving or data, however caused.
Our total aggregate liability for all claims arising out of or relating to the Service in any twelve-month period is limited to the total amount you paid us for credits in that period. Where you have paid us nothing, our liability is limited to ₹5,000.
These limits do not apply to your obligation to pay for credits you consumed, to the indemnity above, or to any liability that cannot lawfully be limited — including liability for fraud, for wilful misconduct, or for death or personal injury caused by negligence.
16. Suspension and termination
You may stop using the Service at any time and delete your account from Settings. Unused credits on deletion are handled under the Credits Policy.
We may suspend an account or a key immediately, and without notice where the risk requires it, if we reasonably believe there is a security compromise, a payment fraud or chargeback risk, a breach of the Acceptable Use Policy, or a legal requirement to act. We will tell you what happened as soon as we reasonably can, and restore access once the cause is resolved. For other breaches we will give you notice and a reasonable opportunity to put the problem right before terminating.
While we investigate suspected fraud or abuse we may hold the affected credits, to the extent the law permits, until the investigation closes. On termination your right to use the Service ends; clauses 6, 7, 11, 12, 14, 15, 18 and 19 survive.
17. Force majeure
Neither of us is liable for a failure to perform caused by something outside our reasonable control, including a failure of a model provider, a cloud region, an internet exchange or a payment system, an act of a public authority, a natural disaster, a war, or a general labour disturbance. Your obligation to pay for credits you have already consumed is not excused.
18. Sanctions and export restrictions
You may not use the Service, or allow it to be used, in breach of Indian export control or sanctions law, or of a sanctions programme that applies to a model provider serving your request. You confirm that you are not a person or entity with whom dealing is prohibited under those rules.
19. Governing law, disputes and grievances
These Terms are governed by the laws of India. Before starting proceedings, each of us will try in good faith for 30 days to resolve the dispute by email, beginning with our Grievance Officer. If that fails, the courts at Chennai, Tamil Nadu have exclusive jurisdiction — except that if you are a consumer, nothing here takes away your right to approach the consumer forum with jurisdiction where you live.
Grievance Officer: Vasudev (Proprietor), grievance@topbilling.in. We acknowledge a grievance within 24 hours and aim to resolve it within 15 days. The Grievance Redressal Policy sets out the process and where to escalate.
20. Notices
We give notice by email to the address on your account, in the dashboard, or on the status page for incidents. You give notice to us at support@topbilling.in. Notice is effective when sent.
21. Changes to these Terms
We may change these Terms. For a change that materially reduces your rights or increases your obligations we give at least 15 days' notice by email and in the dashboard before it takes effect; other changes take effect when published. Every version carries a version number and a date, and continuing to use the Service after a change takes effect means you accept it. If you do not accept a change, stop using the Service and ask for a refund of the unconsumed credits from that purchase under the Credits Policy.
22. General
These Terms, together with the policies they incorporate, are the entire agreement between us about the Service and replace anything said before. If a provision is unenforceable, the rest stands. A delay in enforcing a right is not a waiver of it. You may not assign these Terms without our written consent; we may assign them to a successor to the business on notice to you. Nothing here creates a partnership, agency or employment relationship. Where a policy conflicts with these Terms, the order of precedence is: a signed agreement with you, then these Terms, then the Acceptable Use Policy, then the Credits Policy, then the other policies, then the Documentation.
